1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of reweavehealth.com (the "Site"), operated by Reweave Solutions, LLC, an Oklahoma limited liability company doing business as Reweave Health ("Reweave Health," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. Description of the Site

The Site is the corporate website of Reweave Health. The Site provides general information about Reweave Health, our recovery monitoring and care coordination platform Reweave Care, our partnership posture with clinical organizations and program administrators, and the broader principles governing our work. The Site is informational in nature.

The Site does not provide healthcare services, medical advice, diagnosis, treatment, or care coordination services. Information on the Site is not a substitute for professional medical, legal, financial, regulatory, or other expert advice. If you have a healthcare concern, consult a qualified clinician. If you have a legal or regulatory question, consult qualified counsel.

The Reweave Care platform itself is governed by separate agreements between Reweave Solutions, LLC and the clinical organizations that license the platform. These Terms do not govern your use of Reweave Care.

3. Use of the Site

You may use the Site for personal, non-commercial purposes, and for purposes related to evaluating Reweave Health as a prospective partner, customer, collaborator, or vendor, consistent with these Terms. You may not:

  • Use the Site for any unlawful purpose or in any way that violates applicable law or regulation.
  • Attempt to access, probe, or scan any part of the Site that is not publicly available.
  • Interfere with or disrupt the Site, the servers or networks connected to the Site, or any user's access to or use of the Site.
  • Introduce viruses, worms, malware, or any other malicious or harmful code.
  • Scrape, crawl, copy, or extract data from the Site by automated means without our prior written consent.
  • Reverse engineer, decompile, or attempt to extract the source code of any software underlying the Site.
  • Use the Site to send unsolicited messages, advertising, or promotional materials.
  • Impersonate any person or misrepresent your affiliation with any person or organization.
  • Use the Site in any way intended to harm, defraud, or deceive Reweave Health or any third party.

4. Intellectual Property

The Site, including its content, organization, design, code, graphics, logos, images, and trademarks, is the property of Reweave Solutions, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

"Reweave Health," "Reweave Care," "Reweave Solutions," and the Reweave logos and brand elements are trademarks of Reweave Solutions, LLC. You may not use these marks in any way that suggests sponsorship, endorsement, or affiliation by Reweave Health without our prior written consent.

You may view, download, and print content from the Site for your personal, non-commercial use only, provided that you do not modify the content and that you retain all copyright and other proprietary notices contained in the original content. Any other use, including reproduction, distribution, public display, or public performance, requires our prior written consent.

5. User Submissions

If you submit information to us through the Site (for example, by submitting a contact form), you represent and warrant that the information is accurate, that you have the right to submit it, and that the submission does not violate any third-party rights or any applicable law. We may use submissions to respond to your inquiry, to improve the Site and our services, and as otherwise described in our Privacy Policy.

You agree not to submit through the Site any information that is confidential, that constitutes protected health information under HIPAA, or that you do not have the right to share. The Site is not a secure channel for sensitive personal or health information; please do not transmit such information through the Site.

6. Third-Party Content and Links

The Site may contain links to third-party websites, services, or content. We provide these links for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or practices of any third-party sites or services. Your use of third-party sites and services is at your own risk and is subject to the terms and policies of those sites and services.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REWEAVE HEALTH AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF ANY INFORMATION OR CONTENT ON THE SITE. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REWEAVE SOLUTIONS, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Reweave Solutions, LLC and its affiliates, officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your access to or use of the Site; your violation of these Terms; or your violation of any rights of any third party.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Cleveland County, Oklahoma. You consent to the personal jurisdiction of those courts and waive any objection to venue.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of these Terms. If changes are material, we will provide additional notice (such as a banner on the Site). Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. The provisions of these Terms that by their nature should survive termination (including without limitation Sections 4 through 10) will survive.

13. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms will not be a waiver of that provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reweave Health regarding your use of the Site, and supersede any prior agreements between you and Reweave Health on the same subject matter.
